Overflow App, Inc. (“Overflow,” “we,” “us,” “our”) provides its services (described below) through its website located at www.overflow.co (the “Site”) and the mobile applications and related services (collectively, the “Platform”) are subject to the following Terms of Service (as amended from time to time, the “Terms of Service”). We reserve the right to change or modify portions of these Terms of Service at any time. If we do this, we will post the changes on this page and will indicate at the top of this page the date these terms were last revised. If you continue to use the Platform after the changes become effective, you accept the new Terms of Service.
PLEASE READ THESE TERMS OF SERVICE CAREFULLY, AS THEY CONTAIN AN AGREEMENT TO ARBITRATE AND OTHER IMPORTANT INFORMATION REGARDING YOUR LEGAL RIGHTS, REMEDIES, AND OBLIGATIONS. THE AGREEMENT TO ARBITRATE REQUIRES THAT YOU SUBMIT CLAIMS YOU HAVE AGAINST US TO BINDING AND FINAL ARBITRATION, AND FURTHER (1) YOU WILL ONLY BE PERMITTED TO PURSUE CLAIMS AGAINST OVERFLOW ON AN INDIVIDUAL BASIS, NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS OR REPRESENTATIVE ACTION OR PROCEEDING, (2) YOU WILL ONLY BE PERMITTED TO SEEK RELIEF (INCLUDING MONETARY, INJUNCTIVE, AND DECLARATORY RELIEF) ON AN INDIVIDUAL BASIS, AND (3) YOU MAY NOT BE ABLE TO HAVE ANY CLAIMS YOU HAVE AGAINST US RESOLVED BY A JURY OR IN A COURT OF LAW.
In addition, when using certain services, you will be subject to additional terms applicable to such services that may be posted on the Platform from time to time, including, without limitation, the Privacy Policy located at http://overflow.co/privacy/. All such terms are hereby incorporated by reference into these Terms of Service.
You acknowledge and agree that, in accordance with the Privacy Policy, certain of your personal information will be shared with the non-profit organizations to which you make a Contribution and may be used by such non-profit organizations to issue official contribution receipts.
Access and Use of the Platform
Platform Description: Overflow has developed and makes available a philanthropy platform that streamlines charitable giving by connecting and facilitating charitable giving to non-profit organizations.
- Visitors: Visitors can view all publicly available content without registering.
- Registered Users: Registered Users can access additional features which include making contributions to certain non-profit organizations, updating their accounts, and signing up for notifications.
- Overflow may reject any registration or deactivate any account at any time if a Registered User is found to violate these Terms.
Your Registration Obligations: Registration is required for certain features. You must provide true and accurate information. If you are under 13 years of age, you cannot use the Platform.
Member Account, Password and Security: You are responsible for maintaining the confidentiality of your password and account and agree to notify Overflow of any unauthorized use.
Modifications to Platform: Overflow reserves the right to modify or discontinue the Platform at any time.
General Practices Regarding Use and Storage: Overflow may establish general practices and limits concerning the use of the Platform.
Mobile Services: The Platform includes services available via mobile devices. Standard data rates may apply.
Fees and Payment
Fees: The Platform is provided free of charge, but each Contribution's total will be confirmed through the Platform.
Contribution Type: You must have sufficient funds available at the time of contribution.
- Bank Contributions: Processed by Clover and/or Stripe.
- Stock Contributions: Facilitated by Yodlee and processed by your brokerage.
- Crypto Currency Contributions: Provided by The Giving Block and Gemini.
By using the payment functions, you agree to be bound by third-party processor agreements.
No Legal, Investment, or Tax-Related Advice
The information on this Site is for informational purposes only and does not constitute advice or a recommendation to donate to any non-profit organization.
Conditions of Use
User Conduct: You are responsible for content you upload or display via the Platform.
- You must not upload content that infringes any rights of others or violates any laws.
- You must not interfere with the Platform or violate any applicable laws.
- You must not impersonate any person or entity.
Intellectual Property Rights
Platform Content, Software and Trademarks: You must respect copyright, patent, trademark, and other proprietary rights.
User Content: By uploading content, you grant Overflow a nonexclusive license to use your content in connection with the operation of the Platform.
Indemnity and Release
You agree to indemnify Overflow from all claims arising out of your use of the Platform or any User Content.
Disclaimer of Warranties
YOUR USE OF THE PLATFORM IS AT YOUR SOLE RISK. THE PLATFORM IS PROVIDED ON AN "AS IS" BASIS.
Limitation of Liability: Overflow is not liable for indirect, incidental, or consequential damages arising from the use or inability to use the Platform.
Termination
Overflow may terminate your use of the Platform for any reason, including violations of these Terms.
